Smart Technology Services


1.Payment for Services

1.1.Customer agreement

Customer agrees to pay Smart Technology Ltd (Smart Technology) for Smart Technology services (“Services”) at rates specified in the service order form or an addendum to the service order form and web hosting rates sheet. Any further services that both parties agree to add after the effective date shall be added at Smart Technology list prices unless otherwise agreed by Smart Technology. Usage charges including but not limited to outbound PSTN charges, web hosting web hosting & one-time charges shall be billed at deposit 60% to start doing the project which there are incurred. Yearly recurring charges shall be billed $60 for hosting and the domain prices in the year preceding the year to which the charges apply. All charges are payable 7 days from receipt of Smart Technology invoice unless otherwise agreed by both parties. Failure to pay the invoice will result in Smart Technology issuing a one week disconnect notice, interruption of service or termination of this agreement pursuant to section 10 below. A charge of one and a half percent of the amount owed shall be added to each full or partial month that payment is not made starting on the thirty-first day after the date of invoice. When your project is done completely 100%, A balance %40 will be billed as the contract above.

1.2.Late Payments

All accounts are billed according to the dates they were first activated on. If you will not pay for service renew in 7 days after deactivation, your account will be suspended. If you will not pay for service renew in 15 days after deactivation, your account will be terminated. You will receive an email reminder 7 days till deactivation. Your business will no longer access from any solutions, you have to contact our office to make a payment and reactivate the service again.

2. Cost of collection

Customer shall be liable to Smart Technology for any costs incurred by Smart Technology in enforcing any payment or obligation of the customer under this agreement including, without limitation, collection agency cost, reasonable legal fees, and court costs, if any.

3. Guarantees and advance payments

In the event that the customer fails to pay any invoice on or before its due date, if customer is unable generally to pay its debts when due or Smart Technology, in its sole discretion, determines it appropriate, Smart Technology may require Customer to pay an advance payment in the form of a cashiers or certified cheque, provide a letter of credit, or provide a satisfactory guaranty. Any advance payment may be applied against Customer’s arrears.

4. Maintenance

Smart Technology shall provide Customer notification of feature and function updates to as they become available without additional charge to the Customer. Smart Technology shall decide upon the contents of such updates in its sole discretion.

5. Use of Smart Technology Services

Customer shall use Smart Technology Services in accordance with the guidelines, manuals or instructions provided by Smart Technology. Customer acknowledges that all Customer premises data and network infrastructure, cloud streaming, hosting protection including but not limited to routers, switches, firewalls, cable plant, analogue converters, analogue telephone adaptors, modems, fax machines, IVR devices, CTI devices, IP phones, IP soft phones, servers and personal computers (“Customer Network”) is the responsibility of the customer. Smart Technology shall provide Customer IT point of contact or Customer vendor IT point of contact with customer network IP voice minimum system, compatibility and LAN configuration documentation outlining IP voice best practices. Customer acknowledges that Smart Technology is not responsible for any ongoing support and maintenance of the Customer network. A Customer network that supports and is compatible with Smart Technology Services requires a network infrastructure that consists of: Cisco 800 series router or better and a

10/100 LAN switch configured in accordance with Smart Technology guidelines. CPU utilization of Cisco Routers must not exceed 50%. CPU utilization of LAN switch must not exceed 30%.

5.1. Quality of the telephony service

For Services that support quality of service e.g. IPVPN or leased lines the quality of the phone web hosting will be business standard at all times. Current broadband services however are provided on a contended basis. Because of this Smart Technology cannot guarantee a consistent level of quality for broadband-based service although in our experience a 20:1 contention based service or better is acceptable.
